SRD II Services are offered in order to facilitate Issuers to fulfill their obligations and rights deriving from the legislation stipulated by the European Directive (EU) 2017/828 - Shareholders Rights Directive II (SRD II).
Specifically, the Issuer can make use of the following distinct services.
The service concerns the fulfillment of the Issuer’s obligation to punctually send in a standardized format to the Central Securities Depository and to the Intermediaries the relevant information – according to the aforementioned legislation - regarding the convocation of General Meetings.
Is provided following the submission of an xml file to the ATHEXGROUP application HERMES, which is extracted from the Web form you can find here, transformed to a format compatible with the international standards (ISO 20022) and with the relevant legislation (Shareholders Rights Directive “SRD II”) and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.
The cancellation of the transmission of information for General Meetings is provided following the submission of the file ‘Transmission of Information for the Cancellation of a General Meeting’, ATHEXCSD formatted.
The service concerns the fulfillment of the Issuer’s obligation to punctually send in a standardized format to the Central Securities Depository and to the Intermediaries the relevant information – according to the aforementioned legislation - regarding Corporate Events (e.g. corporate actions, cash distributions, etc.).
Is provided following the submission of the file ‘Transmission of Information for Corporate Events’, ATHEXCSD formatted, which is transformed to a format compatible with the international standards (ISO 20022) and with the relevant legislation (Shareholders Rights Directive “SRD II”), and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.
The service concerns the fulfillment of the Issuer’s right to come to know its Shareholders, in order to make critical decisions, or for supervisory requirements, for General Meetings and for distributions with special terms and conditions.
Is provided following the submission of the file ‘SI Request’, ATHEXCSD formatted, which is transformed to a format compatible with the international standards (ISO 20022) and with the relevant legislation (Shareholders Rights Directive “SRD II”), and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.
The cancellation of the SI Request is provided following the submission of the file ‘SI Request Cancellation’, ATHEXCSD formatted.
The service concerns the fulfillment of the Issuer’s obligation to punctually send in a standardized format to the Central Securities Depository and to the Intermediaries the confirmation of the receipt of votes cast electronically in a General Meeting, immediately after the cast of the votes.
Is provided following the submission of the file ‘Confirmation of the Receipt of Votes Cast Electronically’, ATHEXCSD formatted, which is transformed to a format compatible with the international standards (ISO 20022) and with the relevant legislation (Shareholders Rights Directive “SRD II”), and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.

The service concerns the fulfillment of the Issuer’s obligation to punctually send in a standardized format to the Central Securities Depository and to the Intermediaries the confirmation of the recording and counting of votes of a shareholder in a General Meeting.
Is provided following the submission of the file ‘Confirmation of the Recording and Counting of Votes’, ATHEXCSD formatted, which is transformed to a format compatible with the international standards (ISO 20022) and with the relevant legislation (Shareholders Rights Directive “SRD II”), and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.

The service concerns the punctual dissemination in a standardized format to the Central Securities Depository and to the Intermediaries of the General Meeting decisions.
Is provided following the submission of the file ‘Transmission of Information for General Meeting Decisions’, ATHEXCSD formatted, which is transformed to a format compatible with the international standards (ISO 20022) and is transmitted to the Participants, so that the latter further transmit the information to the chain of Intermediaries.

The Issuers send their requests electronically through the ATHEXGROUP application Issuers Service Desk / SRD II and receive the results through the same path.
The fees charged for the above services are included in Resolution 18 of the ATHEXCSD Board of Directors.
