SUGGESTED EXCHANGE RATIO

29 November 2001 - HELEX's Board of Directors has decided to suggest the following exchange ratio at the Extraordinary General Meeting of the shareholders of December 12, 200, for the shares contributed in the share capital increase.

• 1 Central Securities Depository S.A. share to 2.50 HELEX shares
• 1 Athens Derivatives Exchange S.A. share to 2.40 HELEX shares
• 1 Athens Derivatives Exchange Clearing House S.A. to 0.87 HELEX shares
• 1 Systems Development & Support House of Capital Market S.A. to 3.76 HELEX shares
• 1 Thessaloniki Stock Exchange S.A. share to 6.56 HELEX shares
