PROSPECTUS AVAILABILITY ANNOUNCEMENT

 

"PANAGIOTIS G. NIKAS SOCIETE ANONYME INDUSTRIAL AND COMMERCIAL COMPANY" (hereinafter the "Company") announces that, from November the 20^th 2020, the approved, on November the 20^th 2020, by the Board of Directors of the Hellenic Capital Market Commission, Prospectus that was drafted in accordance with the provisions of Regulation (EU) 2017/1129, as in force and the delegated Regulations (EU) 2019/980 and 2019/979, as in force of Law 4706/2020 is available to the investing public. The Prospectus concerns the public offer of up to 13,288,535 new, common, with voting right, registered shares of nominal value of euro 0.12 (hereinafter the "New Shares"), which will be issued by the Company in the context of the increase of its share capital by cash payment and with a pre-emptive right in favor of the old shareholders, in a ratio of 1 New Share for every 3 existing shares, and will be listed on trading in the "Supervision Category" of the Regulated Market of the Athens Stock Exchange (hereinafter the "ATHEX"), according to the decision of September 2^nd 2020 of the Ordinary General Meeting of the Company's shareholders, in combination with the decision of November 9^th 2020 Board of Directors of the Company (hereinafter the "Increase").

 

Information regarding the process of exercising pre-emptive rights and pre-registrations by investors is provided in section 4.4 "Procedure for Exercising Pre-emptive Rights and Pre-emptive Rights" of the Prospectus.
