The company Kleemann Hellas S.A.announces that, it signed today, Thursday, 16 February 2006, a sales agreement of the two equity stakes that it owned, of a total nominal value of EUR 500,000.00 that represent 50.0% of the corporate capital of the company "Leistritz Hydraulik GmbH", against the total return of EUR 255,500.00. The above sale was realized towards the other partner "Leistritz AG". The aforementioned return of EUR 255,500.00 will be paid by the buying company by the end of 2007, at the latest. Apart from the above return, the buying company will return to Kleemann Hellas S.A., the amount of EUR 769,760.82 which had paid to the company "Leistritz Hydraulik GmbH" in the form of a long-term loan for the confrontation of its immediate needs in cash. It is noted that, Kleemann Hellas S.A. had proceeded with the purchase of the above-mentioned equity stakes of "Leistritz Hydraulik GmbH" that represent 50.0% of its corporate capital, from "Leistritz AG" on 15 October 2001 and the value of these, as presented in the books of Kleemann Hellas ABEE according to the IAS, amounted on 31/12/2005 to EUR 635,687.00. Also in the said agreement, the two companies "Kleemann Hellas ABEE" and "Leistritz AG" (buying company) state their intention to continue their collaboration in the future for the mutual benefit of both. Within this context, the commercial collaboration of Kleemann Hellas ABEE with Leistritz Hydraulik GmbH will also be continued. The above solution was selected as being the most beneficial for the company, because there is no prospect of an economic recovery and profitability of Leistritz Hydraulik GmbH, which operates in an inflexible business and working environment. The management of the company is convinced, that the withdrawal from this loss-making investment will have beneficial results in the growth of the Group, as it will stop financing the needs in cash of Leistritz Hydraulik GmbH and consequently, the resources of the company will be directed in new developmental business initiatives.
