The company EUREKO B.V., shareholder of INTERAMERICAN HELLENIC LIFE INS. COMPANY by 98.07%, following the advice of the Capital Market Commission to face in a satisfactory way the problem that has been created relevant to the shareholders of INTERAMERICAN HELLENIC LIFE INS. COMPANY that did not accept its Public Proposal and in view of the fact that a General Meeting of the company's shareholders of the latter company has been called, the issue of the agenda being the submission of an application of erasure of its shares from the Athens Stock Exchange, it announces the following:

After the delisting of the shares of INTERAMERICAN HELLENIC LIFE INS. COMPANY from the Athens Stock Exchange, in the case that this is decided by the Capital Market Commission, EUREKO B.V. offers to acquire the remaining shares of the latter company that it does not possess at the price of Euro 20.74 per share, i.e. at the price that applied for the Public Proposal.

This offer will apply for a specific period, which will be announced to the shareholders after the delisting. The acquisition of the shares of INTERAMERICAN HELLENIC LIFE INS. COMPANY by EUREKO BV, after the delisting of the Athens Stock Exchange will be realized in accordance with the provisions of transfer of non-listed shares and the shares will be burdened with the tax, which amounts to 5% of the actual value of sale of the shares.
