Listing of new free shares issued by share capital increase due to distribution of shares to employees (article 16 par. 2.f c.l. 2190/1920 and article 1 p.d 30/1988)

EFG Eurobank Ergasias S.A.'s Board of Directors informs the public that, the Bank's Annual General Meeting of April 3rd, 2006, among other issues, resolved about the share capital increase by 2,161,500 euros, through capitalization of previous years taxed profits transferred to Statutory Reserves. The above mentioned increase will be realised by issuing 655,000 common registered shares, of nominal value 3.30 euros each, and their free distribution to the Group's Directors, including executive management and staff. Following the above increase, the Bank's share capital amounts 1,055,922,288.30 euros, divided in 319,976,451 shares, of a nominal value 3.30 euros each. The K2-5319/2006 decision of the Minister of Development regarding the approval for the amendment of the relevant article of the Articles of Association has been recorded in the Register of Societes Anonymes of the Ministry of Development on 18 April 2006, and the listing of the new free shares has been approved by the Board of Directors of the Athens Exchange at its meeting on 27 April 2006. As a result of the above, on Thursday, 4 May 2006 the Bank's 655,000 new common registered shares resulting from the abovementioned increase will commence trading in the Athens Exchange. As of the same date these shares will be credited in the beneficiaries' accounts in the Dematerialized Securities System (D.S.S). Furthermore, it is pointed out that, as of the above date, the opening price of the shares in the Athens Stock Exchange will be formed according to the Regulation of the Athens Exchange.
