Introduction for trading of shares that resulted from a shares capital increase realized after the conversion of bonds into shares

FANCO S.A. announces that as from Thursday, March 9, 2006, the trading of its 1,099,000 new common registered shares will begin on the Athens Excahnge (ATHEX). The aforementioned shares resulted from the share capital increase of the company by EUR 329,700.00 realized due to the conversion of 1,099,000 bonds into 1,099,000 shares (from the existing convertible bond loan of the company, issued on 28.12.2005), of a nominal value of EUR 329,700, divided into 1,099,000 bonds and a conversion price of EUR 0.30 per share, according to the resolution of its Shareholders' 2nd Recurring Extraordinary General Meeting of 20.4.2005 and the BoD decision of 30.1.2006.

The Board of Directors of the company on 31.1.2006 certified the aforesaid increase, which does not constitute an immediate modification of the company's Charter and a relevant announcement was registered in the Official Register of Societes Anonymes on 8.2.2006.

In addition, the ATHEX Board of Directors, during its session on 2.3.2006, approved the introduction for trading of the aforesaid 1,099,000 new common registered shares of the company, which derived from the conversion of bonds into shares.

The Board of Directors of the company decided that the trading of the new shares on the ATHEX will commence on Thursday, March 9, 2006. On the same date, the opening price for the trading of the company's shares on the ATHEX will be determined according to the ATHEX Regulation, while the new shares will have been credited to the Shareholders' and Investors Accounts that are kept in the Dematerialized Securities System (DSS) of the CSD.
