The Board of Directors of "ASPIS BANK ATE" (the "Bank") notifies to Messrs. Shareholders the following:
1) The Extraordinary General Meeting of the Shareholders dated 24/7/2006, decided the increase of the Bank''s Share Capital by 39.699.042,03 euro, by means of issuance of 14.649.093 new, common registered shares, of nominal value 2,71 euro each, by cash payment and pre-emption right in favour of the existing shareholders, at a ratio of three (3) new common registered shares for every ten (10) existing common registered shares. Following completion of the above increase, the Bank''s share capital will amount to 172.029.182,13 euro and will be divided in 63.479.403 common registered shares, of nominal value 2,71 euro each. The total proceeds of the issue will amount to 52.736.734,80 euro.
2) The preemption right exercise period was determined from 13/11/2006 to 27/11/2006.
3) The exercise of the preemption right will take place on business days and hours throughout the network of the Bank "ASPIS BANK ATE" branches.
4) The Bank drafted a Supplement of the Prospectus, in accordance with the provisions of article 16 of L. 3401/2005, which was approved by the Board of Directors of the Hellenic Capital Markets Commission on 22/11/2006. Investors already subscribed for the purchase of securities prior to the publication of the supplement, may withdraw from the subscription within at least three working days from the publication of the Prospectus'' Supplement.
5) The Supplement of the Prospectus regarding the Bank''s share capital increase, constitutes an integral part of the Prospectus and on 23/11/2006 will be published in electronic form on the web-site of the Bank (www.aspisbank.gr), as well as on the web-site of the ATHEX (www.ase.gr). Moreover, the Supplement will be available in printed form at the offices of the Bank, 22, Omirou Str., Athens, as well as at the Bank''s network of branches.
