MARFIN FINANCIAL GROUP HOLDINGS S.A. announces that the Board of Directors, during its meeting held on 14.9.2006, resolved upon the following:
1. The certification of the Company's share capital increase by Euro 22.351.399,53 with the issuance of 2.832.877 new registered shares each with nominal value of Euro 7,89 due to the conversion of 99.112 and 1.813.750 bonds, of the bond loans issued by the Company (ex COMM GROUP) and MARFIN S.A. on 12.6.2003 and 19.12.2001 respectively, into shares on 12.9.2006, the date of conversion. Consequently, the new Company's share capital amounts to Euro 424.678.279,53 divided into 53.824.877 registered shares each with nominal value of Euro 7,89.
2. The modification of the Company's stock option plan terms and the distribution table, according to the provisions of article 13 par. 6 of c.l. 2190/1920, as it stands to members of the Company's BoD, as well as to the Company's associates and subsidiaries as decided upon by the General Shareholder Meetings held on 22.11.2004 and 23.3.2005, the terms of which were specified upon the resolutions of the Board of Directors on 12.1.2005, 25.4.2005 and 15.12.2005. The issue price of the stock options was modified according to the terms of the plan to Euro 7,90 due to a share capital decrease which had been decided upon by the Regular General Shareholder Meeting held on 22.5.2006 and had as a result to decrease the share's nominal value. Furthermore, the possibility was anticipated that the beneficiaries, which were redeterimned, might exercise, during the current year, the options which correspond to the current year and the following years amounting to a total of 1.508.000.
3. The share capital increase of the subsidiary MARFIN BANK in cash, by the amount of Euro 181.149.566,40 with the scope of acquiring a 74,92% shareholding of INVESTMENT BANK OF GREECE S.A. from the Parent Company. The aforementioned transactions await approval by the Bank of Greece.
