ALUMINIUM DE GRECE S.A.' General Shareholders Meeting was reconvened on Tuesday January 31st, 2006, with one item on the agenda:

Completion of the Company's scope and amendment of Article of Association No. 2 with the addition, in the 1st paragraph, of the following phrase: "The production and trade of any form of energy". Deliberation on this item took place since the necessary quorum of " required by Article 26 par. 3 of the Compan's Articles of Association was met, as the present and represented shares at the Meeting totalled 12,289,630, i.e. 56.95% of the paid capital of the Company, with 18 shareholders present in person or by proxy.
The General Shareholders Meeting unanimously approved the addition to the Company's scope with the insertion in the 1st paragraph of the phrase "the production and trade of any form of energy", and the amendment of relative Article 2 of the Company's Articles of Association.

The amended Article 2 is as follows:
Article 2 - The scope of the Company is: The production and manufacture of alumina and aluminium in Greece and their marketing in any country, under the Contract signed with the Greek State on 27 August 1960 and ratified by virtue of the Legislative Decree 4110/1960, as well as the production and trade of any form of energy. The scope of the Company is also the prospecting for, and the extraction and treatment of, any and all mining materials and metals in Greece as well as their marketing in any country. In order to attain the aforesaid objectives but also in a general manner, the Company has especially the right to obtain prospecting and exploitation authorisation; obtain any concessions; acquire, rent, install, build and exploit mines and quarries; set up, acquire, rent, install, build and exploit factories, industrial establishments and all kinds of movables or real property; acquire, take out, file, implement and grant patents, patent licences, industrial methods and trademarks; acquire, rent, develop and exploit farmland and forests as well as land and sea transport services and enterprises; and generally take any and all actions contributing to the fulfilment of the Company's objectives. For the same purpose, the Company can also participate, in any form, in any related enterprises and collaborate, in any form, with natural persons or legal entities in pursuit of objectives the same as or related to the ones pursued by the Company.
