Announcement of regulated information of L 3556/2007

The company ELLAKTOR S.A. informs that a notification was received on September 16^th , 2020, by a shareholder, as follows:

REGGEBORGH INVEST B.V. ELLAKTOR'S shareholder, in compliance with the Directive for transparency, informs that its participation and its voting rights in the share capital of ELLAKTOR SA could be changed as a result of a potential  exercise of Call Option in the future.

Specifically, on September 10^th 2020, REGGEBORGH INVEST B.V. acquired a call option of 26,882,023 shares and voting rights of ELLAKTOR SA, which accounts for 12.5457% of the total voting rights in ELLAKTOR SA.  

The expiry date of the call option shall be 180 days after 10.09.2020 and the exercise/conversion period shall be between the 1^st and 180^th days after the September 10^th 2020.

Number of shares and number of voting rights before the transaction: direct participation 4.9693% (i.e. 10,647,870 common registered shares with voting rights) and indirect participation 0% (i.e. 0 common registered shares with voting rights) and total participation (directly and indirectly) and voting rights 4.9693% (i.e. 10,647,870 common registered shares with voting rights) issued by ELLAKTOR SA.

Number of shares and number of voting rights after the exercise of the call option: direct participation 17.5150% (i.e. 37,529,893 common registered shares with voting rights) and indirect participation 0% (i.e. 0 common registered shares with voting rights) and total participation (directly and indirectly) and voting rights 17.5150% (i.e. 37,529,893 common registered shares with voting rights) issued by ELLAKTOR SA.

REGGEBORGH INVEST B.V. is not controlled by any natural person or legal entity in the sense of Art.3 of L.3556/2007 and does not control any other undertaking(s) holding directly or indirectly an interest in ELLAKTOR SA.
